Terms of Service
These Terms of Service (“Terms”) govern your access to and use of proofconcept.quest’s AI vendor scorecards and POC (proof-of-concept) tool (the “Service”).

1. Acceptance
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility; Accounts
You must provide accurate information where required. You are responsible for maintaining the confidentiality of your account and for all activities conducted through your account.
3. Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. In particular, you agree not to:
- reverse engineer, decompile, or attempt to extract source code or underlying models from the Service;
- misuse the Service to interfere with, disrupt, or overload it;
- use automated means to scrape, copy, or extract content except where explicitly permitted;
- submit unlawful, infringing, or malicious content in connection with your use of the tool; or
- use the Service to produce or distribute content that violates applicable laws or third-party rights.
4. AI Outputs; Limited Reliance
The Service may generate scorecards, summaries, recommendations, and other outputs (“Outputs”). Outputs are provided for informational and evaluation purposes only and may be inaccurate, incomplete, or not suitable for your specific situation.
You are solely responsible for evaluating Outputs and making decisions based on them. You should verify critical facts using your own due diligence and qualified professionals where appropriate.
5. Content and Intellectual Property
The Service and Outputs are protected by applicable intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.
If you provide inputs, you retain any rights you already have in such inputs, and you grant us a limited license to use them to provide the Service.
6. Availability; Changes
We may update, modify, suspend, or discontinue the Service at any time, including to maintain or improve security and performance.
7. Fees; Billing (if applicable)
If you subscribe to any paid offering, applicable fees, payment terms, and renewal terms will be provided at sign-up or in a separate ordering document.
To the extent the Service constitutes an online sale of goods/rights or a contract for specified continuous services, applicable seller/service-provider information and contract/consumer notice elements will be provided in accordance with Act on Specified Commercial Transactions.
8. Privacy; Cookies
If we collect or use personal information, we will handle it in accordance with applicable law, including Act on the Protection of Personal Information. Where cookies or similar technologies involve personal information, we will provide appropriate notice and consent/controls consistent with that act.
Privacy Policy (and cookie settings, if any) explain what information we collect and your related rights.
9. No Warranties
To the maximum extent permitted by law, the Service and Outputs are provided “as is” and “as available.” We do not warrant that Outputs will be accurate, error-free, complete, or meet your requirements.
10. Limitation of Liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service or reliance on Outputs.
Our total liability arising out of or related to these Terms will not exceed the amounts you paid to us for the Service in the period immediately preceding the event giving rise to the claim (or, if none, the minimum amount permitted by law).
11. Indemnity
You agree to indemnify and hold us harmless from claims, liabilities, damages, and expenses (including reasonable attorney’s fees) arising from your violation of these Terms or your misuse of the Service, or from content/inputs you submit.
12. Termination
We may suspend or terminate your access if we reasonably believe you have violated these Terms or used the Service in an unauthorized or harmful manner. Upon termination, your rights to use the Service stop.
13. Dispute Resolution; Governing Law
These Terms are governed by the laws of Japan. Any dispute related to these Terms shall be subject to the jurisdiction of the competent courts in Japan unless otherwise required by mandatory law.
